Chronologically, this is the first fight Vexen battled in Castle Oblivion. It has it's annoyances, but it's easy.

Vexen, as usual, deflects frontal attacks. You don't have Sleights normally, so you can't easily bypass it, so let's change into Dark Riku as soon as possible.
Go in and attack his back. If he turns to you, run or Dodge Jump behind him and continue attacking. If he uses a sleight, break it with a 0 card from the end of your deck. You should change soon enough.

In Dark Mode you have some options. If you tap jump twice you'll move straight behind an enemy. You can attack before you fall down. That's a good way to do some damage. The other way it to use Dark Firaga and Dark Aura Sleights (remember that you have six 9 cards. search your deck). Try not to miss too much. You don't have too many cards in your deck, and can start running short at the end.

As for Vexen, he behaves a lot like in his first fight. He's pretty passive.
He's got 2 Sleights. Freeze you should remember, but Diamond Dust is something you never saw before (did he get amnesia after fighting Riku or what? :P). It's unavoidable, and makes you constantly love life. Not a lot of life, but there's no reason not to break it if you have the 0 cards.

And one last tip. Just run from Freeze. Don't Dodge Jump -_-
